By accessing and using this mentoring platform (the "Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

These Terms of Service ("Terms") govern your access to and use of our website, applications, and services. Please read these Terms carefully before using our Service.

2. Description of Service

Our platform connects mentees seeking career guidance and professional development with experienced mentors and coaches. The Service includes:

• Intro call sessions
• Paid mentoring and coaching sessions
• Session booking and scheduling
• Mentor discovery and profiles
• Payment processing for paid services
• Communication tools for mentees and mentors

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

3. User Accounts

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your information to keep it accurate, current, and complete
• Maintain the security of your password and identification
• Accept all responsibility for activities that occur under your account
• Notify us immediately of any unauthorized use of your account

3.2 Account Eligibility

You must be at least 18 years old to use this Service. By creating an account, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into these Terms
• All registration information you submit is truthful and accurate
• You will maintain the accuracy of such information

4. User Conduct

You agree not to use the Service to:

• Violate any applicable local, state, national, or international law
• Infringe upon or violate our intellectual property rights or the intellectual property rights of others
• Harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate
• Submit false or misleading information
• Upload or transmit viruses or any other type of malicious code
• Collect or track the personal information of others
• Spam, phish, pharm, pretext, spider, crawl, or scrape
• Interfere with or circumvent the security features of the Service
• Use the Service for any unauthorized commercial purpose

We reserve the right to terminate your account for any violation of these Terms.

5. Booking and Payments

5.1 Session Bookings

When booking a session, you agree to:

• Provide accurate and complete information in your booking request
• Attend sessions at the scheduled time or cancel with appropriate notice
• Treat mentors and coaches with respect and professionalism
• Comply with the mentor's guidelines and instructions during sessions

5.2 Payment Terms

For paid sessions:

• Payment is required at the time of booking
• All prices are in USD unless otherwise stated
• We use secure third-party payment processors (Stripe) to handle transactions
• You authorize us to charge your payment method for all fees and charges
• All sales are final unless otherwise specified in our Cancellation Policy

5.3 Cancellation and Refund Policy

Cancellation and refund policies vary by session type:

• 15-minute intro call: May be cancelled up to 24 hours before the scheduled time
• Paid Sessions: Cancellation policies are determined by the specific service package. Please review the cancellation terms before booking
• No-Shows: Sessions missed without prior cancellation are not eligible for refund
• Refunds, when applicable, will be processed to the original payment method within 5-10 business days

5.4 Session Recording and Transcripts

To support coaching quality and follow-up, coaching sessions (including the free intake) are recorded and transcribed. By booking a session you acknowledge and agree that:

• Your session audio, video, and transcript are recorded and stored securely
• Recordings and transcripts are used only to prepare your recap and action steps and to improve the service; they are never shared outside PKNIC without your consent
• Recordings and transcripts are automatically deleted 12 months after the session
• You may withdraw consent or request deletion of your recordings at any time by contacting us

6. Mentor Responsibilities

Mentors and coaches using our platform agree to:

• Provide accurate and professional profile information
• Maintain availability and respond to booking requests in a timely manner
• Deliver sessions at the scheduled time
• Provide professional, ethical, and appropriate guidance
• Maintain confidentiality of mentee information
• Comply with all applicable laws and regulations
• Not use the platform for unauthorized commercial activities

We reserve the right to remove mentors who violate these terms or engage in unprofessional conduct.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by us and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of content you submit, post, or display on or through the Service. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and distribute such content for the purpose of operating and providing the Service.

You agree not to copy, modify, create derivative works, reverse engineer, or attempt to extract source code from the Service.

8. Privacy

TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected. We do not make any warranties regarding the results obtained from the use of the Service.

Mentoring and coaching services provided through the platform are for informational and educational purposes only. They do not constitute professional legal, financial, or medical advice. Always seek the advice of qualified professionals regarding any specific questions you may have.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE, OUR AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months prior to the event giving rise to the liability.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
